Music Artist Content Submission Agreement
By submitting to this form you are agreeing to PPEG, LLC. terms & conditions.
This is a legally binding agreement between you and PPEG, LLC. Please read this document very carefully before you agree to the terms and conditions contained herewith.
1. You hereby grant to PPEG LLC, its assigns, successors and partners, pursuant to the terms and conditions of this agreement, the non-exclusive, royalty-free license and permission to use all music and lyrics, visual images, your artist names and song titles, text and any intellectual property that you submit to PPEG LLC for the purpose of: disseminating through the downloading, reproduction for the purpose of providing world-wide free promotional services to you. Transmission may occur from the PPEG LLC, site or from any individual who obtains the file. This agreement is the sole agreement that exists between you and PPEG LLC and there exists no additional oral or written agreement between you and PPEG LLC.
2. You own and maintain all copyrights to copyrighted material of any and all nature that you submit toPPEG LLC, including but not limited to the copyrights regarding the sound recording and publishing ("Composition") of any songs placed on PPEG LLC as well as all copyrights regarding visual images, text, samples incorporated into songs, or any other material submitted toPPEG LLC by you or on your behalf.
3. All music, visual images, artist names, song names, and text, as well as any other material you submit for distribution PPEG LLC releases, are subject to the approval of PPEG LLC before being disseminated by PPEG LLC and may be subject to disapproval and denial of dissemination by PPEG LLC for any reason. PPEG LLC maintains the right to remove from its websites any and all material at any time for any reason if possible. You agree that you will not submit duplicate editions of your materials on PPEG LLC under a different artist name. Any materials that you submit to PPEG LLC that are subsequently accepted by PPEG LLC may be used in any free promotional system, including specially placed features on the PPEG LLC/DJ Fokis web site or in the contests, or any other free promotional service that PPEG LLC elects to provide to you. Due to the expected numbers of materials to be admitted to PPEG LLC, PPEG LLC cannot promise that any particular content by any particular artist will receive any or all of these types of extra promotional services.
4. PPEG LLC may terminate this agreement at any time, for any reason, by contacting you by email at the email address that you have provided to PPEG LLC. In the event that your email address is no longer valid at the time we notice you by email that we have terminated this agreement with you, such notice will be deemed delivered.
5. You agree that any and all music, visual images, text or any and all material submitted by you to PPEG LLC is yours to freely place on any of the websites of PPEG LLC; you agree that you are not violating any copyright, rights of privacy or publicity, trademark, service mark, trade name, or any other legal right of any third party when you place any material of any nature on the websites of PPEG LLC. You agree that there is no contract of any nature that you have entered into prior or subsequently to placing any material on the websites of PPEG LLC that would deny you the legal right to place any such material upon the websites of PPEG LLC that would interfere with PPEG LLC's promotional usage of your material in any manner. You also certify that no material submitted by you to PPEG LLC will constitute a violation of any law, whether criminal or civil, regardless of the jurisdiction.
7. You agree that PPEG LLC is not responsible for any legal claim arising from the placement of any music, visual image, text, or any other material upon the websites of PPEG LLC and that you further agree to hold harmless PPEG LLC, and its licensees, agents, representatives, partners, assigns, and successors, from any liability, expense, cost, or claim which may arise from any act upon your part regarding your failure to abide by any of the terms of this agreement or upon your intentional or negligent actions, mistakes or misrepresentations on your part regarding any element, term or condition of this agreement.
8. PPEG LLC provides any and all promotional services to you on a "as is" basis and no warranties regarding our services are implied or expressed herein by this agreement. PPEG LLC is not agreeing to any specific promotional services, including frequency of promotions, nature of promotions, and PPEG LLC is not liable for any claim regarding any of our services that we offer to you, or any claim issued by any third party relating to any of your material of any nature placed upon the websites of PPEG LLC. PPEG LLC is not responsible for any damages arising from any outages of service or tools, functions, or promotions that become inoperable at any time for any period of time.
9. You must be at least 18 years of age to sign this agreement. If you are not, By clicking YES to this agreement, you agree to that agreement on behalf of the artist.
10. You agree not to hold PPEG LLC responsible for any additional costs incurred as a result of submitting content to PPEG LLC such as costs related to bandwidth consumption from any URLs that you submit.
11. This agreement shall be interpreted under Illinois State law and shall be subject to the jurisdiction of the State of Illinois.
